Volunteer Positions for Board of Directors

Overview

Human Biology is seeking volunteers for positions on their Board of Directors, supporting the mission to supply health intervention assets that leverage plant-based preventive care for outcome-based public health impact.

Positions are remote, but volunteers must be in the United States

BOARD CHAIR

Purpose:

The Board Chair provides leadership to the Board of Trustees, presides over Board meetings, helps guide governance and strategic oversight, and works with fellow Trustees to ensure the organization is managed in alignment with its mission, and legal responsibilities.

Responsibilities:

  • Maintain knowledge of the organization and personal commitment to its goals and objectives
  • Preside over meetings of the Board of Trustees
  • Help set Board meeting agendas and ensure orderly, effective governance processes
  • Provide overall leadership to the Board in carrying out its responsibilities
  • Support strategic planning, Board development, and organizational accountability
  • Work closely with the Board to ensure board decisions are implemented
  • Help ensure the organization maintains compliance with governing documents and applicable requirements
  • Serve as ex officio participant on Board committees, where applicable
  • Execute documents on behalf of the organization as authorized
  • Perform other duties appropriate to the office of the Board Chair

Length of term: Two years

Time Commitment: As required to accomplish major duties

Reporting: The Board Chair reports to the Board of Trustees

Knowledge and Skills:

  1. Knowledge of the organization and personal commitment to its goals and objectives
  2. Strong leadership and governance experience, communication, judgement and decision-making skills, attention to detail and accountability
  3. Ability to chair meetings effectively and foster sound board processes
  4. Understanding of nonprofit governance, fiduciary duties, and strategic oversight
  5. Ability to coordinate across Trustees, committees, and organizational leadership
  6. Commitment to the mission and values of Human Biology®

VICE CHAIR

Purpose:

The Vice Chair supports the Board Chair in providing leadership to the Board of Trustees and helps ensure continuity of governance, effective board operations, and follow through on strategic priorities. The Vice Chair acts in the absence of the Board Chair and performs duties assigned by the Board.

Responsibilities:

  • Maintain knowledge of the organization and personal commitment to its goals and objectives
  • Support the Board Chair in planning and conducting board meetings
  • Assist with board leadership, governance, and strategic oversight
  • Serve in place of the Board Chair when the Chair is unavailable
  • Help ensure the board committees and initiatives are progressing appropriately
  • Support Board orientation, and development of Trustees
  • Assist in monitoring board accountability, participation, and follow-through
  • Collaborate with fellow Trustees and officers to advance the organizational priorities
  • Perform other duties as assigned by the Board of Trustees or delegated by the Board Chair

Length of term: Two years

Time Commitment: As required to accomplish major duties

Reporting: The Vice Chair reports to the Board Chair and to the Board of Trustees

SECRETARY

Purpose:

The Secretary ensures that accurate and sufficient documentation exists to meet legal requirements, and to enable authorized persons to determine when, how, and by whom the Board’s business was conducted. The Secretary, jointly with the Board Chair, maintains current records, manages minutes of board meetings, and ensures effective management of organization’s records.

Responsibilities:

  • Maintain knowledge of the organization and personal commitment to its goals and objectives
  • Manage minutes of board meetings, including recording all actions taken by the Board
  • Ensure minutes are distributed to members shortly after each meeting
  • Be sufficiently familiar with legal documents to note applicability during meetings
  • Serve as custodian of the organization’s records
  • Ensure that records are maintained of all board actions and policies
  • Manage the general correspondence of the board
  • Ensure that proper notification is given of directors’ and members’ meetings as specified in the bylaws
  • Ensure that board members have required documents and materials before meetings
  • Serve on the executive committee if one exists
  • Ensure that an up-to-date copy of the bylaws is available at all annual meetings and that all Board members have an up-to-date copy

Length of term: Two years

Time Commitment: As required to accomplish major duties

Reporting: The secretary reports to the Board Chair and to the Board of Trustees

Knowledge and Skills:

  1. Knowledge of the organization and personal commitment to its goals and objectives
  2. Understanding of board procedures and requirements for documentation
  3. Strong organizational abilities
  4. Attention to detail and accuracy
  5. Minutes, notices, records, governance documentation, compliance, board communications.
  6. Commitment to the mission and values of Human Biology®

TREASURER

Purpose:

The Treasurer, jointly with the Board Chair, ensures that the current records are maintained, reflecting the financial condition of Human Biology®. These records would include cash, outstanding advances, investments, accounts receivable and other assets, accounts payables, and fund balances.

Responsibilities:

  • Maintain knowledge of the organization and personal commitment to its goals and objectives
  • Understand financial accounting for nonprofit organizations
  • Serve as financial officer of the organization and as chairperson of the finance committee
  • Manage with the finance committee the Board’s review of and action related to the Board’s financial responsibilities
  • Work with the related personnel to ensure that appropriate financial reports are made available to the Board of Trustees on a timely basis
  • Assist the related finance personnel in preparing the annual budget and presenting the budget to the Board for approval
  • Review the annual audit and answer Board member’s questions about the audit

Length of term: Two years

Time Commitment: As required to accomplish major duties

Reporting: The Treasurer reports to the Board Chair and to the Board of Trustees

Knowledge and Skills:

  1. Knowledge of the organization and personal commitment to its goals and objectives
  2. Understanding of financial accounting for nonprofit organizations
  3. Ability to work with chief financial personnel and auditor as necessary
  4. Attention to detail and accuracy
  5. Financial stewardship, budgeting, reporting, audit/review familiarity, board finance oversight.
